LIABILITY WAIVER FOR VISITORS
Effective Date: Janaury 2, 2026
1. Acknowledgment of Risks
Visitor acknowledges that the use of the Property may involve certain risks, including but not limited to:
- Personal injury,
- Property damage,
- Theft and vandalism,
- Illness,
- Use of the pool (no lifeguard will be present),
- Other unforeseen events.
2. Assumption of Risk
By signing this Waiver, Visitor voluntarily assumes all risks associated with visiting the Property, including any possible accidents or injuries arising from the use of Property and its facilities.
3. Release and Indemnification
To the fullest extent permitted by law, Visitor hereby releases, waives, discharges, and holds harmless Owner, its employees, agents, and representatives from any and all liability for any loss or damage, whether caused by negligence or otherwise, arising from the undersigned's visit to the Property.
4. Indemnification
Visitor agrees to indemnify Owner against any claims, losses, damages, or expenses (including attorneys' fees) arising out of Visitor's actions while on the Property, including any claims brought by third parties.
5. No Warranties
Owner makes no representations or warranties, express or implied, about the safety, condition, or suitability of the Property or any facilities, equipment, or amenities provided.
6. Limitation on Liability
To the extent the liability of Owner is not fully released, recoverable damages shall be limited to a refund of what Visitor paid for the unused portion of Visitor’s stay. Visitor agrees that in no event shall consequential, noneconomic, expectancy, and exemplary damages be recoverable by Visitor.
7. Governing Law and Jurisdiction
This Waiver shall be governed by and construed in accordance with the laws of the Commonwealth of the Northern Mariana Islands. Any disputes arising under or in connection with this Waiver shall be resolved exclusively within the jurisdiction of the courts of Commonwealth of the Northern Mariana Islands.
8. Severability
If any provision of this Waiver is found to be void or unenforceable, the remaining provisions shall remain in full force and effect.
9. Acknowledgment of Understanding
Visitor acknowledges that they have read this Waiver in its entirety, understand its terms, and voluntarily agree to its terms.
TERMS & CONDITIONS
Effective Date: Janaury 2, 2026
The following Terms & Conditions apply to your membership, stay, and all use of services from Bo Sea Corporation dba Casa Marianas and Gold Beach Hotel, (the “Property”).
1. Your Personal Information
We will use the personal information you provide us in connection with your membership and/or stay, in accordance with our Privacy Policy.
2. Guests
Local and Resident Members (“Members”) are permitted to bring up to two (2) guests with them to the property, although please be aware that during very busy times we may have to restrict guest access to certain areas of the property at our discretion. For the avoidance of doubt, Members must follow the on-site guest policy as it relates to use of the pool and public spaces. Guests may not enter the property without a Member being present. Members are responsible for ensuring their guests follow all property rules and policies, and can be asked to leave the property if their guests violate such rules or policies. Members and their guests should not congregate in large groups within the property unless such group is associated with a pre-booked event at the property.
3. Privacy for Members and Guests
Members and their guests must not disturb or solicit others in the property with whom they are not personally acquainted. To maintain a relaxed atmosphere within the property, Members and their guests may only take or make phone calls and use laptops in designated areas at certain times, as posted and designated by staff. Members must ensure that their guests adhere to our phone and laptops policy. Property management and all staff members are required to adhere to the strictest confidentiality standards, and pledge to maintain all records and personal information concerning the Members and their guests in the strictest confidence.
4. Cameras and Recording Devices
No cameras, video, or other recording devices, whether live-streaming or otherwise and whether on a mobile phone or another medium, may be used while in the property. Members are responsible for ensuring that their guests also adhere to this rule.
5. Audio/Video Sound
Any audio and video, including, but not limited to, movies, videos, songs, music, internet calls, presentations and all other audio must only be played through headphones and should not be audible to any other guest present. Internet calls must only take place in designated areas. Music, television, and all other entertainment enjoyed in Member rooms should not be audible outside of the room. All music at the property will be volume controlled by the property.
6. Press/Social Media
Unless otherwise agreed to in writing between the property and a Member, the property operates a strict NO PRESS POLICY both on and off the premises. Members and their guests will be held accountable if they or their guests disclose or identify any other guests who are in the property without their permission, whether in any press or social media including Facebook, Twitter, Instagram, TikTok and on personal blogs.
7. Illegal Drugs/Substances/Items
No Member, guest, or patron shall purchase, use, ingest, possess, sell, or otherwise distribute illegal drugs or other controlled substances, or attempt to ingest or imbibe any of the same. No Member, guest, or patron shall ask any property staff for illegal drugs or other controlled substances while on property premises, or in the immediate vicinity thereof. If any of the actions above prove true, the relevant property Member, guest, or patron will be removed from the property.
No Member, guest, or patron shall purchase, sell, use, or possess any object which is dangerous, illegal, or offensive while on property or in the immediate vicinity thereof, including, but not limited to, firearms and weapons. If any such objects are found, the item will be confiscated, the relevant Member, guest, or patron will be removed from the property and, depending on the circumstances, we may have to call the police or relevant authorities.
8. Animals
We do not allow domesticated dogs and cats on property, except registered Service Animals. Members and guests who bring Service Animals on property are solely and exclusively responsible for their Service Animal and their actions.
9. Accidents and Injuries
We want all our Members and guests to relax and enjoy the activities and facilities available at our property. Members and their guests agree to observe the property rules and any signs published or displayed at our property at all times; to only swim in designated areas; to only use facilities, including but not limited to, the pool and public spaces during the posted hours of operation; and to take reasonable precautions when traveling around the grounds or using the facilities at the property.
If a Member or guest has an accident or suffers any injury at the property, please report this as soon as possible to a member of staff and, in any event, within 24 hours of the incident.
10. CCTV
Members, guests, and patrons should be aware that for safety reasons, we use CCTV across our property. By entering the property, you consent to being record on CCTV.
11. Smoking Policy
Anyone entering the property is obligated to abide by the property’s smoking policy, and to all applicable no-smoking governmental laws, rules and regulations. No smoking (including, but not limited to, e-cigarettes and vapes) is allowed inside the property at any time or within twenty (20) feet of any entrance(s). The property reserves the right to prohibit or limit smoking in any area of the property at any time at its sole and absolute discretion. Any violation of this policy is subject to a smoking fee and/or removal from the property.
This policy is not intended to stop people from smoking, but to regulate where they smoke and how it affects others. The property reserves the right to designate certain outside areas of the property premises as smoking areas and to change the location of such areas at any time. However, all Members and their guests are requested to respect the wishes of others with respect to smoking, and to refrain from smoking when requested to do so.
12. Noxious Odors
Any items that cause a strong smell, including but not limited to, candles, incense, essential oils (including diffusers and vaporizers) or any other items or fragrances are strictly prohibited. These items and activities will be treated as smoking and the Member or guest may be evicted with no refunds.
13. Treatment of Others
Members and their guests shall treat all others, including, but not limited to other Members, guests, and property staff with kindness, politeness, respect. Profanity shall not be directed at property staff and should not be spoken so as to be heard by other Members or guests.
Members and their guests may not abuse any of the property’s employees or other Members or guests, verbally or otherwise. Violation of this rule may result in removal from the property or other disciplinary action determined by the property.
All service employees of the property are under the supervision of the property General Manager and no Member, guest, or patron shall reprimand or discipline any employee, nor shall a Member, guests, or patron request an employee or other Member, guest, or patron to leave the property for any reason.
Any employee not rendering courteous and prompt service should be reported to the management of the property immediately.
Members, their guests, and all patrons may not make any physical contact with any property employees.
14. Applicable Law
Members and their guests agree to abide by all applicable laws, including, but not limited to federal, state, and local laws while on the property.
15. Signage
No signage of any kind shall be hung in any are of the property by any Members or guests, including, but not limited to: (i) public areas, including the front entrance, front desk, lounges(s) and restroom areas, (ii) exterior corridors, including guest room doors, (iii) parking lots, including guest room parking, hotel parking and car windows, and (iv) private event space walls or ceilings.
16. Disciplinary Procedure
Conduct by a Member or guest that is prejudicial to the reputation and character of the property may result in removal from the property. Such conduct may include inappropriate, violent or abusive behavior, or the communication of information concerning property affairs or other guests in the property to the media. Any guests or patrons who willfully remove, damage or destroy any property belonging to the property, or to other guests on the property, will be liable to removal from the property.
Every Member, guest, and patron binds him/herself to abide by the rules, bylaws, and regulations of the property. If the property considers that any person’s conduct on the property is, at its absolute discretion, contrary to the interests of the property, the property may with immediate effect expel the person from the property without having to give any reason to such guest.
17. Property Trademark Rights
Members and their guests shall not use the names, logos, colors, trademarks, service marks, photographs, trade dress, or other identifying features of the property and its affiliates (“Property Marks”) without obtaining the specific prior written approval of the property as to the specific use.
You hereby expressly recognize that the Property Marks are the valid, unique, and exclusive property of the property, its parent, affiliates, and/or subsidiaries. Members and guests may not produce, use or create, or authorize others to produce, use or create, the property Marks for any purpose whatsoever, including, but not limited to, in any communications, marketing, advertising or other promotional materials (including, but not limited to, brochures, flyers, invitations and e-mail messages) that utilize the Property Marks without property’s prior written consent.
18. Use of Property and Facilities
Use of any of the common space and facilities available at the property, including, but not limited to the pool, public spaces, and other areas is entirely at the risk Member’s, their guests, and other patrons. You must not use any equipment, or undertake any activity at the property, unless you are satisfied that you are competent to do so in a safe and proper manner.
When using any equipment and facilities available at the property, you must take care to safeguard your own health and safety and that of other people. You will be solely responsible for any loss or injury that you cause to yourself, other persons, or to the equipment or facilities through your unsafe or improper use of the equipment or facilities. This includes your use of them while under the influence of alcohol or medication, or your failure to advise staff of a medical condition relevant to your use of the equipment or facilities.
Any minors under the age of 18 must be accompanied by a parent or guardian for use of any of the facilities, including the pool and public spaces.
The property is a commercial facility. Using the property or your membership for the purpose of establishing a personal residence is not permitted. You hereby understand, agree, and warrant that you are not a residential tenant at the property.
19. Invoicing And Payment
Members are invoiced in advance, based on their membership options. Payment is required at the beginning of the term or month for that period, at the date specified in the invoice. Payment for casual usage is either paid on the day of use unless other arrangements have been made in advance.
The property reserves the right at all times to disclose any information about your participation in and use of the property as is deemed necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part at the property’s sole discretion.
20. Postal Mail
In exceptional cases, other than subscribers to our virtual mailbox services, Members may send personal post and packages to the property. This facility is only available to Members if they have made arrangements in advance with the property, and the General Manager has agreed to accept post and packages on their behalf. All post sent to the property is sent entirely at the Member’s risk and the property shall not be liable for any loss, damage, or destruction to any post or package. If and post or package is not collected within a reasonable amount of time, the property may dispose of it or return to sender as it sees fit. If any customs, duties, or handling charges are due, the Member agrees all such costs will be borne by them.
21. Liability of the Property
All items brought into the property are brought and left entirely at the risk of the Member, guest, or patron. The property, its employees, and/or agents shall not be liable to any Member, guests, or patrons for any loss, damage or injury suffered by them or their property howsoever caused, save in respect of death or personal injury to a guest to the extent caused by the negligence of the property, its employees, and/or agents. This is not intended to affect any mandatory rights a guest may have under local law that we cannot legally restrict or exclude.
22. Confidentiality
You acknowledge and agree that during your participation in and use of the property you may exposed to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by the property or any Member or guest of the property or any employee, affiliate, or agent thereof, that is non-public, confidential or proprietary in nature. Confidential information also includes, without limitation, information about business, sales, operations, know-how, trade secrets, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems, and/or books and records of the property, any analyses, compilations, studies or other documents prepared by the property or otherwise derived in any manner from the Confidential Information that you are obliged to keep confidential or know or has reason to know should be treated as confidential.
Your participation in and/or use of the Services obligates you to
Maintain all Confidential Information in strict confidence;
Not to disclose Confidential Information to any third parties;
Not to use the Confidential Information in any way directly or indirectly detrimental to the property or any Member, guest, or patron.
23. Amendments to the Property Terms and Conditions
The property reserves the right to change the property rules from time to time at its discretion.
24. Constitution
The property is dedicated to encourage non-political, social, and recreational activities.
